Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by OA Automation, a trading name operated by Owais Akhtar, based in London, United Kingdom ("we", "us", "our").

By engaging our services or booking a call with us, you agree to be bound by these Terms. Please read them carefully.

2. Our Services

OA Automation provides AI-powered automation services including but not limited to:

• AI customer support chatbot setup and configuration
• AI phone receptionist setup
• Social media DM and messaging automation
• Email automation and response handling
• Monthly maintenance and optimisation

The specific services, deliverables, and timelines will be agreed upon in writing before work commences.

3. Pilot Programme

Where we offer a pilot or discounted rate in exchange for feedback, the following conditions apply:

• The pilot rate applies only to the initial agreed period
• You agree to provide honest, constructive feedback within 14 days of the pilot period ending
• The pilot does not guarantee a long-term contract or continued reduced pricing
• We reserve the right to limit pilot availability at our discretion

4. Payment and Fees

Fees are as agreed in writing prior to the commencement of services. Unless otherwise stated:

• Monthly retainer fees are payable in advance at the start of each billing period
• One-time setup fees are payable before work begins
• Invoices are due within 7 days of issue
• Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998

All prices are in GBP and exclusive of VAT unless stated otherwise.

5. Cancellation and Termination

Either party may terminate the agreement with 30 days' written notice. Upon termination:

• All outstanding fees become immediately due
• We will provide you with any assets or configurations we hold on your behalf
• No refunds will be issued for unused portions of a prepaid period, unless otherwise agreed

We reserve the right to suspend or terminate services immediately if you breach these Terms or fail to make payment.

6. Client Responsibilities

To enable us to deliver our services, you agree to:

• Provide accurate and complete information about your business
• Grant us necessary access to platforms and accounts required for setup
• Review and approve AI configurations before they go live
• Notify us promptly of any issues or changes that may affect the service
• Ensure your use of our services complies with applicable laws and platform terms

7. Intellectual Property

Upon full payment of all fees, you own the AI configurations, scripts, and automations we build specifically for your business. We retain ownership of any proprietary frameworks, tools, or methodologies used in the delivery of services.

You grant us permission to reference your business as a client for portfolio and marketing purposes, unless you request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation continues for 2 years after the termination of services.

9. Limitation of Liability

To the maximum extent permitted by law, OA Automation shall not be liable for:

• Indirect, incidental, or consequential losses
• Loss of revenue, profits, or business opportunities
• Losses arising from third-party platform changes or outages

Our total liability to you in connection with any services shall not exceed the total fees paid by you in the 3 months preceding the claim.

10. Disclaimer

AI systems are probabilistic by nature. While we strive to deliver accurate, high-quality automations, we cannot guarantee that AI responses will always be perfect. You are responsible for reviewing and approving AI configurations before deployment and for monitoring performance on an ongoing basis.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes by email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
